DSV takes over Global Integrated Logistics from Agility in US$4.6bn deal

DSV Panalpina A/S (DSV) announced the acquisition of Global Integrated Logistics (GIL) from Agility, the Kuwait-based leader in supply chain services, innovation and investment.

The enterprise value of the transaction is US$4.775 billion and the equity value is US$4.675 billion, as revealed by the Denmark-headquarteredentity.

With the acquisition of GIL, DSV joins the global top-three players in the freight forwarding industry with expected combined revenue of roughly US$26 billion and 75,000 employees worldwide.

“We’re moving forward with a strategic investment in DSV, one of the world’s best-performing logistics providers. We will accelerate growth in the businesses we continue to operate, which historically account for around 80 percent of our EBIT. And we will continue investing in businesses that are driving sustainable innovation in supply chain and transportation.”

The all-shares transaction gives Agility 19.3 million DSV shares upon full completion of the deal in all jurisdictions, representing approximately 8 percent of all post-transaction shares of DSV. This makes Agility the second largest DSV shareholder based on today’s shareholder register.

In addition to its stake in DSV, Agility receives a seat on the DSV board of directors. “This is a chance for us to share ideas and find areas where we can collaborate with a visionary DSV leadership team that, like us, is determined to shape the supply chains of the future,” Sultan said.

GIL has annual revenue of US$4.6 billion with air and sea freight as the main contributors. With 1.4 million square meters of warehousing capacity, GIL will be a strong addition to DSV Solutions while the road freight activities in Europe and the Middle East will strengthen the DSV Road network.

“By adding the GIL network and competencies to our existing network, we improve our competitiveness across all three divisions: air, sea, road and Solutions. This brings commercial synergies and cross-selling opportunities while at the same time providing our customers with an even higher service level and a one-stop-shop for logistics needs,” Andersen said.
